SNAP Terms of Service
CHAPTER 1 GENERAL PROVISIONS
Article 1 (Purpose)
The purpose of these Terms is to set forth the rights, obligations and responsibilities of KustodyFi Co., Ltd. (the "Company") and its users, as well as other necessary matters, in connection with the use of "SNAP" (the "Service"), through which the Company provides access to financial institution information (including traditional foreign exchange (FX) quotes, financial product information and interest rate information; "Financial Institution Information") received from domestic and overseas financial institutions with which the Company has entered into formal agreements, additionally provides analytical content produced by the Company in accordance with its proprietary models and published methodologies, and delivers the foregoing in connection with AI services via API/MCP (Model Context Protocol) and similar means.
The purchase of paid services, free trials, recurring payments, pricing, taxes, withdrawal of subscription, termination and refunds are additionally governed by the Paid Service Terms of Use. In the event of a conflict between these Terms and the Paid Service Terms of Use, the Paid Service Terms of Use shall prevail with respect to the purchase, payment and refund of paid services. However, where an individual order form or a separate written agreement expressly conflicts with these Terms or the Paid Service Terms of Use, such order form or separate written agreement shall prevail.
Article 2 (Definitions)
The terms used in these Terms are defined as follows:
1."Financial Institution Information" means exchange rate quotes, financial product information, interest rate information and the like that the Company receives from financial institutions with which it has entered into formal agreements (each a "Partner Financial Institution") and makes available and provides as received, without processing. It constitutes the basic content of the Service.
2."Analytical Content" means the analytical outputs (including, without limitation, comparisons by maturity, annualized conversions, curve construction and interpolation, and historical statistical analysis) that the Company generates on the basis of Financial Institution Information and other inputs in accordance with its proprietary models and published methodologies, and provides as a value-added feature of the Service. Analytical Content is limited to technical and computational analysis and does not include market outlooks, investment or trading recommendations, or judgments as to the timing or direction of any transaction.
3."User" means an individual or legal entity that has entered into a service agreement with the Company under these Terms and uses the Service provided by the Company. "Member" means a person who has completed member registration by providing personal information to the Service and who uses the Service under an account (including an API Key) issued by the Company.
4."API" means the application programming interface provided by the Company to enable a User to access the Service programmatically through the User’s own application, system or AI agent.
5."AI Platform" means a third-party conversational artificial intelligence service, or an agent framework that enables a User to connect to the Service through a protocol such as MCP.
6."Third-Party Login Provider" means Google, and any other credential provider that the Company may additionally support in the future, which the Company supports so that a User may sign up for and authenticate to the Service via OAuth instead of creating authentication credentials directly with the Company.
Terms not defined in these Terms shall be governed by the relevant laws and regulations and by the operating policies applicable to each service.
Article 3 (Effect and Amendment of the Terms)
1.These Terms take effect upon being posted on the Service screen or otherwise notified to Members.
2.The Company may amend these Terms to the extent that such amendment does not violate relevant laws and regulations, including the Act on the Regulation of Terms and Conditions and the Act on Promotion of Information and Communications Network Utilization and Information Protection, Etc.
3.Where the Company amends these Terms, it shall post the effective date, the details of the amendment and the reasons therefor on the Service screen from seven (7) days prior to the effective date. However, where the amendment is unfavorable to Users or changes material matters, the Company shall give such notice from thirty (30) days prior to the effective date and shall also give individual notice by reasonable means, such as the e-mail address provided by the Member.
4.Material changes under Paragraph 3 include increases in or changes to fees or billing methods, changes to automatic payment conditions, reductions in the essential functions or scope of use of the Service, and changes that materially affect the rights, obligations or liabilities of Users.
5.The Company shall clearly notify Members of the content and effective date of the amended Terms, and that a Member who does not express an objection before the effective date, or who continues to use the Service, shall be deemed to have agreed to the amended Terms. However, for matters requiring separate consent under relevant laws, the Company shall obtain the User’s express consent.
6.If a Member does not agree to the amended Terms, the Member may terminate the service agreement before the effective date. The Company shall provide guidance on the procedures necessary for such termination.
Article 4 (Rules Other than These Terms)
Matters not provided for in these Terms, and the interpretation of these Terms, shall be governed by relevant laws and regulations — including the Act on Consumer Protection in Electronic Commerce, Etc., the Act on the Regulation of Terms and Conditions, the Act on Promotion of Information and Communications Network Utilization and Information Protection, Etc., the Personal Information Protection Act and the Financial Investment Services and Capital Markets Act — as well as by the detailed usage guidelines and operating policies established by the Company.
CHAPTER 2 FORMATION OF THE SERVICE AGREEMENT AND ACCOUNTS
Article 5 (Formation of the Service Agreement)
1.The service agreement is formed when a User agrees to the content of these Terms, enters the required information in the sign-up form prescribed by the Company and applies to use the Service, and the Company accepts such application.
2.The Service is provided both to businesses and professionals ("Business Users") and to individuals using it for personal purposes ("Individual Users").
3.The Company may decline to accept an application, or may subsequently terminate the service agreement, in any of the following cases:
a.Where the applicant does not use their real name, or uses the name of another person;
b.Where false information is entered, or the information requested by the Company is not provided;
c.Where the User is under 18 years of age;
d.Where it is confirmed that the applicant intends to resell or redistribute Financial Institution Information or Analytical Content without authorization, or to use it for the purpose of building a competing service.
Article 6 (Account Registration and Management; OAuth Login)
1.To use the Service, a User may sign up by providing the necessary information, such as an e-mail address, directly to the Company, or may sign up and log in via OAuth through a Third-Party Login Provider (Google is currently supported; other providers may be added in the future).
2.Where a User signs up or logs in through a Third-Party Login Provider, the User shall be deemed to have authorized the Company to receive from that provider certain profile information, such as the User’s account identifier and e-mail address, for the purposes of account creation and authentication. Use of the Third-Party Login Provider itself is subject to that provider’s terms of service and privacy policy, which are outside the Company’s control.
3.A Member shall manage its account information (login credentials, API Keys and the like) with the due care of a prudent manager, and may not lend, transfer, pledge or share it with any third party.
4.Where a Member becomes aware of any unauthorized use, such as theft of its account information or use by a third party, the Member shall immediately notify the Company and follow the Company’s instructions. The Company shall not be liable for any disadvantage arising from a failure to give such notice, or from a failure to follow the Company’s instructions after giving notice.
CHAPTER 3 CONTENT AND PROVISION OF THE SERVICE
Article 7 (Content and Scope of the Service)
The Service provided by the Company consists of the following:
1.A service for accessing Financial Institution Information received from Partner Financial Institutions with which the Company has entered into formal agreements; provided that such information may be provided on a real-time or delayed basis, or in accordance with the update cycle indicated on the Service screen or in the API documentation.
2.The value-added provision of Analytical Content produced by the Company on the basis of the foregoing Financial Institution Information and other inputs, in accordance with its proprietary models and published methodologies. 3.Real-time and historical access to Financial Institution Information and Analytical Content through the API.
4.Support for accessing and utilizing Financial Institution Information and Analytical Content on AI Platforms through MCP integration.
5.Any other services that the Company additionally develops, or provides to Members through partnership agreements or otherwise.
6.These Terms and the Service cover Financial Institution Information and Analytical Content relating to traditional foreign exchange (FX). Digital-asset and blockchain-based ("on-chain") products or services — including the calculation of on-chain fair value for tokenized financial products — are not subject to these Terms. If the Company provides such on-chain products or services in the future, they shall be governed by separate terms.
Article 8 (Modification and Suspension of the Service)
1.The Company may modify all or part of the Service being provided as required by the content of the Service or for operational or technical reasons, in which case it shall give advance notice of the reasons for and the details of the modification.
2.The Company may temporarily suspend all or part of the Service where unavoidable circumstances arise, such as system maintenance, a failure of a cloud infrastructure provider used by the Company (such as Amazon Web Services), a change to or termination of an agreement with a Partner Financial Institution, a natural disaster or a national emergency. Where advance notice is impracticable, notice may be given after the fact.
3.The Company may set separate hours of availability depending on the type or nature of the Service, in which case it shall give advance notice thereof.
Article 9 (Provision of Information)
The Company may provide Members with various information that it deems necessary in the course of their use of the Service, by means of notices, e-mail, in-Service notifications and the like.
CHAPTER 4 SPECIAL PROVISIONS ON DATA AND API/AI INTEGRATION
Article 10 (Nature of Financial Institution Information and Analytical Content; Disclaimer)
1.The information provided by the Company consists of prices (the "Local Price") calculated on the basis of information received from Partner Financial Institutions (the "Source Data"), in accordance with the methodology established by the Company and reflecting expected margins, market conditions and other relevant factors. The Company shall use reasonable efforts to maintain the accuracy and timeliness of the information. However, differences from actual market information or transaction terms may arise as a result of delays, errors or omissions in the Source Data not attributable to the Company, delays in data transmission from Partner Financial Institutions, system failures and the like. The Company shall not be liable for such differences to the extent they are not attributable to the Company.
2.Analytical Content provided by the Company is analytical information for reference purposes, produced by the Company in accordance with its proprietary models and published methodologies. Its accuracy and reliability are not guaranteed to be complete, and it does not constitute an investment solicitation, investment advice or a definitive forecast. Analytical Content is merely general information provided to an unspecified number of persons, and is not a tailored recommendation that takes into account the financial circumstances of any individual Member. Members are solely responsible for all decisions made using Analytical Content, including investment and trading decisions, and for the results thereof.
3.Analytical Content is provided solely for informational and analytical purposes, and is neither designed nor approved for use as a binding reference or benchmark for the pricing, settlement, clearing or valuation of any contract, financial product or transaction. Members may not use Financial Institution Information or Analytical Content as such a binding reference unless the Company has agreed to such use under a separate written agreement setting out the applicable conditions.
4.The Company shall not be liable for damages arising from system failures of Partner Financial Institutions or from data delays, errors or omissions, absent willful misconduct or gross negligence on the part of the Company.
Article 11 (Restrictions on Use of the API and MCP)
1.Members shall comply with the API call limits (rate limits) and usage policies established by the Company.
2.Members shall not engage in any of the following:

d.Interfering with the security, integrity or performance of the Service, or causing an excessive load on the infrastructure of the Company or any third party;
e.Using the Service in a manner that infringes, misappropriates or violates the rights of any third party, including third-party intellectual property rights and other proprietary rights;
f.Reverse assembling, reverse compiling, decompiling or translating the AI service, conducting model-extraction or model-theft attacks against it, or otherwise attempting to discover its source code, underlying components, algorithms or systems (except where such restriction is contrary to applicable law);
g.Accessing, or attempting to access, another User’s account, API key, data or systems without authorization;
h.Transmitting or introducing malicious code, viruses or other harmful code into the Service.
3.Where abusive or abnormal use of the API or MCP is confirmed, the Company may restrict the relevant Member’s access temporarily or permanently, upon prior notice (or, in urgent cases, with notice after the fact).
4.Where a Member uses the Service on an AI Platform through MCP integration, that AI Platform’s own terms of service and policies shall apply in addition to these Terms, and the Company shall not be liable for the acts of, policy changes by, or service failures of that AI Platform, to the extent not attributable to the Company. However, the Company shall bear liability in accordance with relevant laws for damages caused by willful misconduct or negligence in relation to the API or MCP server it provides.
Article 12 (Prohibition of Redistribution and Commercial Reuse)
1.Members may not, without the Company’s prior written consent, provide to any third party or commercially exploit all or part of the Financial Institution Information or Analytical Content received through the Service, whether by reproduction, redistribution, resale, publication, broadcast, display, creation of derivative works or any other means.
2.Members may not use Financial Institution Information or Analytical Content for the purpose of building a data-provision service that competes with, or is similar to, the Service.
3.Notwithstanding the foregoing paragraphs, uses permitted under relevant laws, or expressly permitted by the Company on the Service screen, in the API documentation, in the Paid Service Terms of Use or in an individual order form, are not restricted.
4.Where the Company or a Partner Financial Institution suffers damage as a result of a breach of this Article, the Member shall be liable to compensate for such damage.
CHAPTER 5 USE OF PAID SERVICES, PAYMENT AND WITHDRAWAL OF SUBSCRIPTION
Article 13 (Fees and Conversion to Paid Service)
1.The Company may provide all or part of the paid Services through online payment methods, bank transfer or such other method as separately agreed between the Company and the User. The types, term, scope of use, fees, taxes, payment methods, refund conditions and other transaction terms of the paid Services shall be as set forth on the Service screen, in the Paid Service Terms of Use, in an individual order form or quotation, or in an e-mail or other electronic document provided by the Company to the User.
2.The specific payment models for paid Services (subscription, pay-as-you-go, one-time payment and the like), together with the associated auto-renewal and termination conditions, shall be set forth in the Paid Service Terms of Use separately posted by the Company at the time of conversion to a paid Service. Such Paid Service Terms of Use shall be incorporated into these Terms and shall have the same effect as these Terms.
3.Except as required by relevant laws or as expressly provided in the Company’s Paid Service Terms of Use, fees already charged and paid are non-refundable.
4.Members are responsible for all taxes relating to their use and purchase of the Service, other than taxes based on the Company’s net income.
Article 14 (Withdrawal of Subscription, Etc.)
1.A Member may withdraw its subscription within seven (7) days from the date of payment for a paid Service, pursuant to Article 17 of the Act on Consumer Protection in Electronic Commerce, Etc. However, withdrawal may be restricted where a ground for restricting withdrawal under that Act applies — for example, where services individually provided at the Member’s request have already been performed.
2.Upon receiving a request for withdrawal of subscription, rescission or termination of the agreement, or a refund, the Company shall take the measures necessary for the refund or the cancellation of payment within the period prescribed by relevant laws.
3.This Article does not restrict any right of withdrawal, rescission, termination or refund guaranteed to consumers under relevant laws.
CHAPTER 6 OBLIGATIONS AND PROHIBITED CONDUCT OF MEMBERS
Article 15 (Obligations of Members)

Article 16 (Prohibited Conduct)
Members shall not engage in any of the following:
1.Misappropriating another person’s information, or registering false information;
2.Reproducing, redistributing or reselling Financial Institution Information or Analytical Content provided by the Company without authorization, or using it to build a competing service;
3.Generating abnormally excessive traffic to the Company’s API or MCP server, or otherwise interfering with the operation of the Service;
4.Attempting unauthorized access to the Company’s systems, or exploiting or testing security vulnerabilities;

6.Any other conduct prohibited by relevant laws or by these Terms, including Article 11, or contrary to public order and good morals.
Article 17 (Suspension of Accounts and Termination of the Service Agreement)
1.Where a Member engages in prohibited conduct under Article 16 or otherwise breaches these Terms, the Company may, upon prior notice, restrict use of the Service, suspend the account or terminate the service agreement.
2.Before taking any measure under Paragraph 1, the Company shall notify the Member of the breach, the reasons for the measure, the scope and duration of the measure and the method for filing an objection, and shall give the Member an opportunity to explain or cure the breach within a reasonable period. However, in the case of a security breach, an infringement of personal information, an imminent risk to the stability of the Service, a concern of a violation of law, an infringement of third-party rights, or a repeated or material breach, the Company may take immediate action and give notice after the fact.
3.A Member may apply to terminate the service agreement at any time through the termination function within the Service or through customer support, and the Company shall process such application without delay in accordance with relevant laws.
CHAPTER 7 INTELLECTUAL PROPERTY RIGHTS
Article 18 (Ownership of Intellectual Property Rights)
1.All intellectual property rights in the Analytical Content, algorithms, software, trademarks, logos and other materials provided in the Service belong to the Company or to third parties holding legitimate rights therein. Rights in Financial Institution Information shall be as provided in the supply agreement with each Partner Financial Institution.
2.The Company grants Members only a revocable, non-exclusive right of use, to the extent necessary to use the Service. This does not grant Members any right of access to source code or underlying algorithms.
3.Upon termination of the service agreement, the right of use granted to the Member shall immediately expire.
CHAPTER 8 LIMITATION OF LIABILITY AND DAMAGES
Article 19 (Disclaimer)
1.The Company shall not be liable for any suspension of the Service arising from causes beyond its control, such as a natural disaster, war, a failure of a cloud infrastructure provider used by the Company (such as Amazon Web Services), a service suspension or contract termination by a Partner Financial Institution, or a service suspension by a telecommunications carrier.
2.Where a cause under Paragraph 1 occurs, the Company shall endeavor to take reasonable measures, such as restoring the Service, providing alternative means or notifying Users.
3.The Company shall not be liable for any disruption in the use of the Service caused by circumstances attributable to the User, the User’s systems or a third-party AI Platform, to the extent not attributable to the Company.
